Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Grozati LLC ("Grozati", "we", "us"). By using our Services, you agree to these Terms.
1. Services
Grozati provides custom software development, Shopify app and store development, AI integration, and related professional services. Specific deliverables, timelines, and fees are defined in a written Statement of Work ("SOW") or order form.
2. Engagement & payment
- Fees are invoiced as set forth in the applicable SOW. Unless stated otherwise, invoices are due within 14 days.
- Late payments may incur interest at the lesser of 1.5% per month or the maximum allowed by law.
- Out-of-pocket expenses must be pre-approved in writing.
3. Intellectual property
Upon full payment, Grozati assigns to the client all right, title, and interest in the deliverables created specifically for the client under the SOW, excluding (a) third-party materials, (b) open-source components, and (c) Grozati's pre-existing tools, libraries, and know-how, which Grozati retains and licenses to client on a non-exclusive basis as needed to use the deliverables.
4. Confidentiality
Each party agrees to protect the other party's confidential information using at least the same degree of care it uses to protect its own, and not to disclose such information except as necessary to perform under the SOW.
5. Warranties & disclaimers
Grozati warrants that services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. Grozati's aggregate liability arising out of or relating to these Terms or any SOW will not exceed the fees paid by the client to Grozati in the three (3) months preceding the event giving rise to the claim.
7. Termination
Either party may terminate an SOW for material breach upon 14 days' written notice if the breach remains uncured. Client will pay for all work performed and expenses incurred through the effective date of termination.
8. Governing law
These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-laws principles. The exclusive venue for disputes is the state and federal courts located in Bernalillo County, New Mexico.
